These Terms & Conditions ("Terms") govern your use of idealdevs.net (the "Website") and the software development, design, integration and maintenance services provided by Ideal Devs("Ideal Devs", "we", "us") (the "Services"). By using the Website or engaging our Services you agree to these Terms. If you do not agree, please do not use the Website or Services.

1. Services

We provide custom website, web application and mobile application development, UI/UX design, API and third-party integrations (including Meta platform integrations), hosting and maintenance. The exact scope, deliverables, timeline and fees for each project are set out in a written proposal, quote or statement of work ("Agreement"). If an Agreement conflicts with these Terms, the Agreement prevails.

2. Quotes and payment

  • Quotes are valid for 30 days unless stated otherwise.
  • Unless agreed otherwise, projects require an upfront deposit before work starts, with the balance due on milestones or delivery.
  • Invoices are payable within 14 days. We may pause work on overdue accounts.
  • Fees exclude third-party costs (hosting, domains, app-store fees, paid APIs, licenses) unless stated.

3. Client responsibilities

You agree to provide timely feedback, content, approvals and access needed for the project, and you confirm you have the rights to any materials you supply. Delays in providing these may affect timelines and costs.

4. Changes and revisions

Each Agreement includes a defined number of revision rounds. Requests outside the agreed scope are treated as change requests and may be quoted separately.

5. Intellectual property

Upon full payment, ownership of the custom code and designs created specifically for you is transferred to you. We retain ownership of our pre-existing tools, libraries and know-how, and grant you a perpetual license to use them as part of your deliverables. Open-source components remain subject to their own licenses. Unless you object in writing, we may display the completed project in our portfolio without disclosing confidential information.

6. Confidentiality

Each party will keep the other's non-public business and technical information confidential and use it only to perform the Agreement.

7. Warranty and support

We fix defects reported within 30 days of delivery that cause the deliverables to not perform as specified, at no additional cost. After that, support and maintenance are available under a separate plan. Except as stated, the Services and Website are provided "as is" without warranties of any kind.

8. Third-party platforms

Projects may rely on third-party platforms such as Meta, Google, Apple, payment gateways and hosting providers. We are not responsible for their availability, policy changes, app-store review decisions or account restrictions. You are responsible for complying with those platforms' terms when using the deliverables.

9. Limitation of liability

To the maximum extent permitted by law, Ideal Devs will not be liable for indirect, incidental, special or consequential damages, including lost profits or data. Our total liability for any claim is limited to the amount you paid us for the Services giving rise to the claim in the 12 months before the claim.

10. Termination

Either party may terminate an Agreement with 14 days' written notice. You will pay for work completed up to the termination date, and we will deliver the work paid for. Deposits cover work already scheduled and may be non-refundable as stated in the Agreement.

11. Acceptable use of the Website

You may not misuse the Website, attempt unauthorized access, distribute malware, or copy its content for commercial use without permission.

12. Privacy

Our handling of personal information is described in our Privacy Policy.

13. Governing law

These Terms are governed by the laws of your country. Disputes will first be addressed through good-faith negotiation and, if unresolved, by the competent courts of that jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. Continued use of the Website or Services after changes means you accept the updated Terms.
